1. About these Terms

These Terms & Conditions (“Terms”) govern your access to and use of the website www.swenid.com (the “Website”) operated by Swenid Private Limited (CIN: U62099GJ2026PTC173653), a company incorporated under the Companies Act, 2013, having its registered office at 5, Krishna Park Society, Berna Road, Himatnagar, Gujarat - 383001, India (“Swenid”, “we”, “us”, “our”).

By accessing or using the Website, you (“User”, “you”) agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Website.

This document is an electronic record published in accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. It does not require any physical or digital signature.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872 to use the Website or to engage Swenid for services. By using the Website you represent and warrant that you meet these requirements.

3. Services Offered

Swenid is a software development and technology consulting company offering:

• Custom web and mobile application development;
• Product engineering and technology consulting;
• Operation of proprietary platforms, including the ride-sharing service at www.theridesharing.in (governed by separate terms specific to that platform).

The Website itself is primarily an information and contact channel; specific service engagements are governed by separate written agreements (Statements of Work, Master Services Agreements, or product-level terms).

4. User Conduct

While using the Website, you agree not to:

• Violate any applicable Indian or international law, regulation, or third-party right;
• Upload or transmit content that is unlawful, defamatory, obscene, infringing, harmful to minors, or otherwise objectionable as defined under Rule 3(1)(b) of the Intermediary Guidelines, 2021;
• Attempt to gain unauthorised access to the Website, its servers, databases, or related systems;

• Interfere with the operation of the Website, introduce malware, or perform denial-of-service attacks;

We reserve the right to investigate and take appropriate legal action, including reporting violations to law-enforcement authorities, against any User who breaches these Terms.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and view the Website for personal, non-commercial purposes only. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works from any part of the Website without our prior written consent.

6. User-Submitted Content

If you submit content to us through contact forms, email, or any other channel (project briefs, proposals, feedback, suggestions), you grant Swenid a non-exclusive, royalty-free, worldwide licence to use that content for the purpose of responding to your inquiry and improving our services. You represent that you own or have the necessary rights to share such content.

The Website may contain links to third-party websites or services (e.g., social-media platforms, partner sites, payment gateways) that are not owned or controlled by Swenid. 9. Disclaimer of Warranties

Information published on the Website is for general information only and does not constitute professional, legal, financial, or technical advice.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Swenid, its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, revenue, data, or goodwill — arising from or in connection with your use of, or inability to use, the Website.

Where liability cannot be excluded by law, our aggregate liability to you for all claims arising in connection with the Website shall not exceed INR 1,000 (Indian Rupees One Thousand).

Liability arising from a separate written services agreement is governed by that agreement.

11. Indemnity

You agree to indemnify, defend, and hold harmless Swenid and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (i) your use of the Website, (ii) your breach of these Terms, or (iii) your violation of any law or third-party right.

12. Suspension and Termination

We may suspend or terminate your access to the Website (in whole or in part) at any time, without notice, if we reasonably believe you have violated these Terms or engaged in conduct that may harm Swenid or other Users. Sections that by their nature are intended to survive termination — including IP, indemnity, limitation of liability, and dispute resolution — shall survive.

13. Force Majeure

Swenid shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, epidemics, government action, internet outages, or failures of telecommunications networks.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India.

Any dispute, controversy, or claim arising out of or in connection with these Terms shall first be attempted to be resolved amicably through good-faith discussions. If unresolved within 30 days, the dispute shall be referred to arbitration by a sole arbitrator appointed under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Himatnagar / Ahmedabad, Gujarat, India. The language of arbitration shall be English. The award of the arbitrator shall be final and binding on the parties.

Subject to the arbitration clause, the courts at Himatnagar, Gujarat, India shall have exclusive jurisdiction.

15. Changes to these Terms

We may revise these Terms from time to time. Material changes will be posted on this page with a revised “Last Updated” date. Continued use of the Website after changes take effect constitutes acceptance of the revised Terms.

Complaints are acknowledged within 48 hours and resolved within 15 days (or 72 hours, if the complaint is in respect of unlawful content removal as required under the Intermediary Guidelines).

18. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
